Our legal services are provided under Thai law. While we may coordinate with international legal advisors for cross-border matters, our direct legal opinions and advice relate to Thai legal frameworks. We are not licensed to practice law in jurisdictions outside Thailand.

4. Client Responsibilities

4.1 Accurate Information

You agree to provide complete, accurate, and timely information relevant to your legal matter. Failure to disclose material facts or providing false information may affect the quality and accuracy of our advice and could result in termination of the engagement.

4.2 Document Provision

You are responsible for providing documents, records, and other materials we request in connection with your matter within reasonable timeframes. Delays in providing necessary information may affect engagement timelines and outcomes.

4.3 Legal Age and Authority

You represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If engaging services on behalf of a business or organization, you represent that you have the authority to do so.

You acknowledge that the decision to follow or decline our legal advice is yours alone. We are not responsible for consequences arising from your decision not to follow our recommendations or from your actions taken contrary to our advice.

Our fees are specified in engagement letters and may be structured as:

Unless otherwise specified in your engagement letter, fees are payable within 14 days of invoice date. We accept payment by bank transfer in Thai Baht. Late payments may be subject to interest charges as permitted under Thai law.

5.3 Additional Costs

Our fees typically do not include disbursements such as court filing fees, government charges, expert witness fees, travel expenses, or similar third-party costs. These will be billed separately with your approval where possible.

5.4 Non-Payment

Failure to pay fees may result in suspension or termination of services. We reserve the right to withdraw from representation for non-payment, subject to our professional obligations and with appropriate notice.

6. Confidentiality and Professional Obligations

6.1 Attorney-Client Privilege

Communications between you and darawaan are protected by attorney-client privilege under Thai law. We maintain strict confidentiality of all client information except where disclosure is required by law or professional regulation.

6.2 Conflict of Interest

We conduct conflict checks before accepting new engagements. If a conflict of interest arises during representation, we will notify you and may be required to withdraw from the engagement in accordance with professional conduct rules.

6.3 Professional Standards

Our attorneys are members of the Lawyers Council of Thailand and bound by its professional conduct standards. We adhere to ethical requirements regarding competence, diligence, and client communication.

7. Limitation of Liability

7.1 Service Provided "As Is"

Our legal services are provided based on the information and circumstances known to us at the time. We provide professional opinions and advice to the best of our ability, but legal matters involve inherent uncertainties and we cannot offer absolute predictions about outcomes.

7.2 No Guarantees

We do not make guarantees or warranties about specific results or outcomes in legal matters. Success depends on numerous factors including facts, applicable law, decisions by courts or government agencies, and actions by other parties, many of which are beyond our control.

7.3 Liability Cap

To the extent permitted by Thai law and professional regulations, our total liability for any claim arising from our services is limited to the fees actually paid by you for the specific matter in question, except in cases of gross negligence or willful misconduct.

7.4 Third-Party Actions

We are not responsible for actions, errors, or omissions of third parties including co-counsel, expert witnesses, government agencies, courts, or other parties involved in your legal matter.

8. Intellectual Property

8.1 Website Content

All content on our website, including text, images, logos, and design elements, is owned by or licensed to darawaan and protected by copyright and intellectual property laws. You may view and use website content for personal, non-commercial purposes but may not reproduce, distribute, or create derivative works without our written permission.

8.2 Client Documents

Documents, opinions, and work product we create for you during an engagement are provided for your use in connection with the specific matter. You receive a license to use these materials but we retain intellectual property rights in our legal analysis, methodologies, and work product form.

9. Termination

9.1 Termination by Client

You may terminate our engagement at any time by providing written notice. You remain responsible for fees for services provided through the termination date and any work necessary to ensure orderly transition of your matter.

9.2 Termination by darawaan

We may terminate representation for reasons including non-payment of fees, client provision of false information, conflict of interest, or other circumstances that make continued representation inadvisable or impossible. We will provide reasonable notice where professional obligations permit.

9.3 File Retention

Following engagement completion or termination, we retain your file in accordance with professional requirements (typically 10 years). You may request copies of documents from your file, though we may charge reasonable copying costs.

10. Dispute Resolution

10.1 Governing Law

These Terms & Conditions and any disputes arising from them or from our services are governed by the laws of Thailand.

10.2 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts of Thailand, with venue in Bangkok unless otherwise agreed in writing.

10.3 Informal Resolution

Before initiating formal proceedings, we encourage clients to raise concerns directly with us. Many issues can be resolved through open discussion and we are committed to addressing client concerns professionally and promptly.

11. General Provisions

11.1 Entire Agreement

These Terms & Conditions, together with any engagement letter and related documents, constitute the entire agreement between you and darawaan regarding use of our website and services, superseding any prior agreements or understandings.

11.2 Severability

If any provision of these terms is found invalid or unenforceable, the remaining provisions remain in full force and effect. Invalid provisions will be modified to the minimum extent necessary to make them valid and enforceable.

11.3 Waiver

Our failure to enforce any provision of these terms does not constitute a waiver of that provision or our right to enforce it in the future.

11.4 Assignment

You may not assign your rights or obligations under these terms without our written consent. We may assign our rights and obligations to a successor firm with notice to you.

11.5 Notice

Notices under these terms should be sent to the contact information provided on our website. Email notices are considered delivered when sent to the address you provided.

12. Changes to Terms

We reserve the right to modify these Terms & Conditions at any time. Changes will be posted on our website with an updated "Last Updated" date. Material changes will be communicated to active clients. Continued use of our services after changes indicates acceptance of modified terms.
